Terms of Service
Last updated: October 9, 2026
Welcome to LedgerBeaver. These Terms of Service ("Terms") govern your access to and use of the LedgerBeaver platform, including our website, web application, MCP server, and related services (collectively, the "Service"), operated by LedgerBeaver LLC, a Texas limited liability company ("LedgerBeaver," "we," "us," or "our").
By creating an account, accessing the Service, or using any part of the platform, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Service.
1. Service Description
LedgerBeaver provides agent-native finance automation for small and medium-sized enterprises. The Service includes accounts payable (AP) automation with invoice extraction, matching, and approval workflows; accounts receivable (AR) management including invoicing and collections; a general ledger (GL) with journal entries and reconciliations; partner relationship management via The Dam; and an authenticated Model Context Protocol (MCP) server that allows you to connect compatible AI agents to your financial data and workflows.
We provide the Service on a subscription basis with tiered plans as described on our pricing page. Features and limits vary by plan. We reserve the right to modify, add, or remove features from any plan with reasonable notice. If a change materially reduces the value of your plan, you may cancel without penalty.
2. Account Registration and Security
To use the Service, you must create an account with accurate, current, and complete information. You must be at least 18 years old and capable of entering into a binding contract. You are responsible for:
- Maintaining the confidentiality of your account credentials and API tokens
- All activity that occurs under your account, including any actions taken by AI agents you connect via MCP
- Promptly notifying us of any unauthorized access or security breach at [email protected]
We provide MCP access tokens that grant your AI agents scoped permissions (e.g., AP, AR, GL, approvals). You are responsible for configuring these scopes appropriately and for all tool calls made using your tokens. LedgerBeaver is not liable for actions taken by your own agents, including incorrect payments, data modifications, or communications sent through the platform.
3. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right
- Process fraudulent transactions or engage in money laundering
- Upload malicious code, attempt to breach security, or interfere with the Service's operation
- Resell, sublicense, or redistribute the Service without our written permission
- Use the Service to process data for or on behalf of any entity subject to U.S. sanctions or embargoes
We reserve the right to suspend or terminate accounts that violate these provisions, with or without notice, at our sole discretion. Accounts terminated for cause are not entitled to refunds.
4. Payment Terms
4.1 Billing
Paid plans are billed monthly via Stripe, our payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis. All fees are in U.S. dollars and are non-refundable except as required by law or expressly stated in these Terms or our Refund & Cancellation Policy.
4.2 Pricing Changes
We may adjust pricing for any plan with at least 30 days' notice before your next billing cycle. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.
4.3 Promotional Free Trial
Unless we state otherwise, an eligible new company workspace receives one 90-day Pro trial after verification. No payment card is required, and the trial does not automatically convert into a paid subscription or charge you. The Pro trial does not include Max-only features. To apply eligibility with minimal friction, we may use reliable business-identity signals, such as a previously used EIN or a matching business email domain and organization name. We do not deny a trial based only on an IP address or device. If we determine that a workspace is not eligible for the promotional trial, it may continue on the Free plan. You may contact support if you believe the determination was incorrect.
4.4 Free Plan
The Free plan has access limits as described on our pricing page. We reserve the right to modify or discontinue the Free plan with 30 days' notice. Using the Free plan to circumvent paid plan limits (e.g., creating multiple accounts for the same entity) is prohibited.
4.5 Taxes
You are responsible for any applicable sales, use, value-added, or similar taxes on your subscription, except taxes based on LedgerBeaver's income.
5. Data Ownership and Intellectual Property
5.1 Your Data
As between you and LedgerBeaver, you retain the rights you have in the data you upload to or generate through the Service ("Customer Data"), including invoices, purchase orders, vendor information, financial records, and communications. We claim no ownership over your Customer Data. This does not override other individuals' privacy rights or third parties' intellectual-property rights.
5.2 Our License to Use Your Data
To provide the Service, you grant us a limited, worldwide, royalty-free license to access, process, store, and transmit your Customer Data. This license is strictly limited to what is necessary to operate, improve, and support the Service. We do not sell Customer Data or use it to train AI or machine-learning models. Connecting a third-party AI service does not grant LedgerBeaver a model-training license. Any separately authorized use beyond providing the Service remains subject to our Privacy Policy and does not override these no-sale and no-training commitments.
5.3 Our IP
LedgerBeaver and its licensors own all right, title, and interest in the Service, including its software, design, algorithms, documentation, trademarks (including the LedgerBeaver name and beaver logo), and all intellectual property rights therein. These Terms do not grant you any right to use our trademarks, copy our software, or reverse-engineer any part of the Service.
5.4 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
6. Third-Party Services
The Service relies on infrastructure providers and may connect to third-party platforms you choose when a feature is enabled, including:
- Stripe — payment processing and subscription billing
- Supabase — database hosting and authentication infrastructure
- Supported accounting imports or integrations — only when shown as available in the Service
- Plaid — bank account connectivity
- Cloudflare — content delivery and DDoS protection
- AI model providers — agents you connect via MCP (Anthropic, OpenAI, Google, etc.)
- OpenRouter and routed model providers — optional read-only Ask Beaver book answers using Apodex Mini through Novita after conversation opt-in; product-help model requests and cloud document transcription remain disabled
- TypeSafe (Jev) — separately customer-enabled suggestions for AP invoice exceptions, employee-expense accounts, PO evidence, possible vendor-name matches, and selected CRM note follow-up in eligible Pro and Max workspaces; each result remains advisory and subject to human review
Your use of third-party services you independently select is governed by their respective terms and policies. Review the terms that apply to your chosen product and account. LedgerBeaver does not control those services' availability, accuracy, or processing practices. This does not remove LedgerBeaver's responsibility for its own processing or its applicable obligations concerning providers it engages, and does not limit rights or obligations that cannot lawfully be excluded.
AI connections. An agent you authorize may disclose prompts, files, tool results, financial records, and related personal data to its model provider or other services it uses, within the Service's access controls. Those services may retain or use that content, including for training where their applicable terms and your settings allow. Some business and API services exclude training by default; cloud processing does not automatically mean model training. You are responsible for having authority to disclose the information you make available and for evaluating your selected services' terms and settings.
LedgerBeaver AI advisories. TypeSafe Jev is a provider engaged by LedgerBeaver, not an AI agent selected by the customer. An owner or administrator separately enables each supported purpose. A finance reviewer in LedgerBeaver or an authorized connected agent may submit minimized AP-exception facts. An expense owner or authorized approver may explicitly request an employee-expense account suggestion using minimized expense and allowed-account facts. A person must apply an expense account, then approve the displayed coding revision separately; a suggestion does not approve, reimburse, post, or pay an expense. TypeSafe states that Jev customer requests and responses are not used to train its models. Processing and retention remain governed by LedgerBeaver's agreement and TypeSafe's applicable terms; this is not a zero-retention claim.
Separately enabled PO guidance uses bounded status and line-description inputs; vendor comparison uses bounded names and available country codes. These results do not create receipts, verify a vendor's legal identity, or merge records. CRM follow-up guidance sends only a limited, filtered excerpt from one selected note and allowed follow-up categories after the requester reviews and confirms the exact excerpt. Automatic filtering does not guarantee removal of all confidential or personal details. These suggestions do not send messages, approve spending, or move money. See AI & Data Privacy for the data used by each optional purpose.
Local inference can reduce disclosure of your connected agent's model inputs to cloud AI providers, but the agent, extensions, telemetry, backups, or cloud fallback may still transmit content. It does not disable separate LedgerBeaver features that use service providers, such as the in-app assistant. LedgerBeaver remains hosted. Your choice of cloud or local inference does not change your existing rights in Customer Data or third parties' rights. See AI & Data Privacy and our Privacy Policy for details.
7. Limitation of Liability
Important: LedgerBeaver processes financial data. This section is especially important — please read it carefully.
7.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LEDGERBEAVER DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
7.2 Financial Data Disclaimer
LedgerBeaver is a tool for automating financial workflows. We are not an accounting firm, financial advisor, or tax preparer. The Service does not constitute financial, tax, or legal advice. You are solely responsible for:
- Verifying the accuracy of any data extracted, matched, or generated by the Service or your AI agents
- Ensuring compliance with applicable accounting standards, tax regulations, and financial reporting requirements
- Reviewing and approving all payments, journal entries, and financial statements before finalization
7.3 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGERBEAVER'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). THIS CAP APPLIES REGARDLESS OF THE THEORY OF LIABILITY — CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.
7.4 Exclusion of Consequential Damages
IN NO EVENT SHALL LEDGERBEAVER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.5 Acknowledgment
The limitations in this section are a fundamental part of the bargain between you and LedgerBeaver. They reflect the nature of the Service as a software tool (not a financial advisory service) and the pricing structure, which would be substantially different if these limitations did not apply. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
8. Indemnification
You agree to indemnify, defend, and hold harmless LedgerBeaver, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service, including any actions taken by AI agents you connect
- Your violation of these Terms or applicable law
- Your Customer Data, including its accuracy and legality
- Any dispute between you and a third party (including your vendors, customers, or payment recipients)
9. Termination
9.1 By You
You may cancel your account at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of your current billing period. You will retain access until that date. We do not provide prorated refunds for mid-cycle cancellations.
9.2 By Us
We may suspend or terminate your account with 30 days' notice for any reason. We may terminate immediately if you breach these Terms, violate the law, or if we reasonably determine that your continued use poses a security risk or could cause harm to us, other users, or third parties.
9.3 Effect of Termination
Upon termination, your access to the Service will cease. You should export eligible data before closure. We will delete eligible identity, integration-token, and operational data under our governed retention schedule, while retaining posted accounting records, consent evidence, security evidence, and other records when required for accounting integrity, tax or legal duties, disputes, fraud prevention, or a legal hold. Retained records remain restricted from ordinary product access.
10. Dispute Resolution
10.1 Governing Law
These Terms are governed by applicable federal law and the laws of the State of Texas, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
10.2 Informal Resolution
Before filing any formal legal claim, we encourage you to contact us at [email protected] to attempt to resolve the dispute informally. Both parties agree to work in good faith to resolve disputes for at least 30 days before proceeding to arbitration.
10.3 Binding Arbitration
Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place via videoconference, or in Texas. The arbitrator's award shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
10.4 Class Action Waiver
ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.
10.5 Exceptions
Either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims related to intellectual property infringement, data security breaches, or unauthorized access to the Service, without first engaging in arbitration.
11. Service Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted access. We may need to perform scheduled maintenance, and we will use reasonable efforts to provide advance notice (typically via our status page or in-app notification). We also reserve the right to modify or discontinue any feature or MCP tool with reasonable notice, subject to these Terms and applicable law.
12. Changes to These Terms
We may update these Terms from time to time. For material changes, we will notify you at least 30 days in advance via email and/or in-app notice. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and cancel your account before the changes take effect.
13. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and any applicable Data Processing Agreement (DPA), constitute the entire agreement between you and LedgerBeaver regarding the Service.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
- No Waiver: Our failure to enforce any provision does not waive our right to enforce it later.
- Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of substantially all of our assets.
- Force Majeure: Neither party is liable for delays or failures caused by events beyond reasonable control (natural disasters, acts of government, internet infrastructure failures, etc.).
- Notices: We will send legal notices to the email address associated with your account. You may send notices to [email protected].

Terms effective September 19, 2026; optional Ask Beaver processing and existing data-rights provisions clarified October 9, 2026. These disclosures preserve the no-training commitment and do not authorize a new processing purpose. Each optional advisory purpose requires the separate opt-in described above.
Optional Ask Beaver book answers
When enabled, Ask Beaver offers optional, read-only book answers using Apodex Mini through OpenRouter and Novita. After you opt in for the current conversation, your question, recent conversation and a limited set of authorized book facts are sent to those providers. Relevant invoice references, account labels or counterparty names may be included; raw documents, payment credentials, contact fields, internal record IDs and agent memory are excluded. Filtering cannot guarantee that every sensitive detail typed into a question or label is removed. The model selects supporting facts; LedgerBeaver validates those selections and displays source-backed amounts and dates. It cannot change books, approve transactions, send messages or move money. Requests are restricted to endpoints OpenRouter designates as no-training and zero-data-retention, with no paid or alternate-provider fallback. LedgerBeaver excludes its production key from OpenRouter data-discount logging and keeps prompt/completion storage off. Provider policies and contractual obligations still apply; processing is US/global, not guaranteed to stay in one region. Turn AI book answers off to use internal verified summaries. The choice resets when you change user or company or reload.
AI selection can be mistaken or incomplete. Check the supporting ledger or report; a displayed answer is not certification of reconciliation, close readiness or accounting accuracy. Provider routing policies and OpenRouter data handling.
